Welcome to EverTeach Solutions. These Terms of Service ("Terms") govern your use of the EverTeach Solutions website, mobile application, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
1. Accounts
When you create an account with us, you must provide accurate, complete, and up-to-date information. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
2. User Conduct
You agree that you will not:
- Use the Service for any illegal purpose or in violation of any laws
- Post or transmit any content that is unlawful, harmful, threatening, or abusive
- Impersonate any person or entity or falsely state your affiliation with a person or entity
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Collect or store personal data about other users without their consent
3. Background Checks
Substitute teachers who register on our platform are required to undergo a background check. By registering as a substitute teacher, you authorize EverTeach Solutions to conduct a background check and to share the results with schools on our platform.
4. Payment Terms
EverTeach Solutions is the employer of record for all substitute teachers placed through the platform. Substitutes are W-2 employees of EverTeach Solutions, not employees of the schools to which they are assigned. EverTeach Solutions handles all payroll, tax withholding, workers' compensation, and employment-related compliance obligations.
Schools are invoiced for substitute services at the rates specified in their service agreement. EverTeach Solutions' billing rate includes substitute wages, employer payroll taxes, workers' compensation, and a service fee. The current fee structure is available on our website and may be updated from time to time.
5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of EverTeach Solutions and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
6. Eligibility & Age Requirement
You must be at least 18 years of age to use this Service. By creating an account and using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are registering on behalf of an organization (such as a school or district), you represent that you have authority to bind that organization to these Terms.
7. FERPA & Student Data Privacy
All users acknowledge that educational records are protected under the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. § 1232g. Substitute teachers placed through this platform may have access to student information in the course of their duties. By using the Service, substitute teachers agree to:
- Treat all student information as strictly confidential
- Not disclose, share, photograph, or copy any student records or personally identifiable information
- Use student information only as necessary to perform assigned duties
- Report any suspected data breach or unauthorized disclosure immediately to the school and to EverTeach Solutions
- Comply with all applicable federal, state, and local student data privacy laws
Schools and districts are responsible for ensuring that substitute teachers are appropriately informed of FERPA obligations specific to their institution. EverTeach Solutions does not access or store student educational records.
8. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.
9. Indemnification
You agree to indemnify, defend, and hold harmless EverTeach Solutions LLC, its officers, directors, members, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Limitation of Liability
IN NO EVENT SHALL EVERTEACH SOLUTIONS, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE. EVERTEACH SOLUTIONS' TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO EVERTEACH SOLUTIONS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Dispute Resolution & Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict-of-law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be submitted to good-faith mediation. If mediation is unsuccessful within thirty (30) days, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Morris County, New Jersey. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND EVERTEACH SOLUTIONS INDIVIDUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW, (A) NO ARBITRATION SHALL BE JOINED WITH ANY OTHER PROCEEDING; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
